These Terms are a binding agreement between you (“you”, the “customer”) and Cortexum AI Pte Ltd, a company registered in Singapore (“Cortexum”, “WAgent”, “we”, “us”), governing your use of the WAgent service, including our messaging assistants, the websites we build and host for you, and related tools.
WAgent is an AI-run web-design service. You describe your business to our assistant; our AI team proposes a plan and builds a professional website, then revises it on your feedback and publishes it. Unless otherwise agreed, the service covers static “brochure” websites (informational sites and, where enabled, a simple online shop). We may add, change, or remove features at any time.
Your requests are handled primarily by automated AI assistants. AI can make mistakes, misunderstand instructions, or produce imperfect results, and it operates with limited human oversight. You are responsible for reviewing everything before you approve, sign off, publish, or rely on it. We do not guarantee that any AI-generated text, design, image, or code is accurate, complete, original, error-free, or fit for a particular purpose. The assistant may not promise anything outside the published service; out-of-scope requests are escalated to a human operator, who may or may not accommodate them.
Your account is tied to the phone number and/or messaging identity you contact us from. You must be at least 18 and legally able to enter this agreement, and any business details you give us must be truthful and yours to use. Keep access to your messaging account and any one-time codes we send secure; actions taken through your messaging identity or a valid code are treated as yours. Tell us promptly if you believe your account has been compromised.
We host published sites on our infrastructure (Cloudflare). Each site gets a free address on a WAgent domain; a personalised (“friendly”) address is available for a one-time fee, with a small fee for later renames. You may connect a domain you own; you remain responsible for owning and renewing that domain. The first year of hosting is included in the build; annual renewal applies from the second year. If your account is inactive or unpaid, we may pause or remove a preview or site.
You agree not to use WAgent to create, host, or distribute anything that is unlawful, fraudulent, deceptive, infringing, defamatory, hateful, sexually explicit involving minors, or otherwise harmful; to impersonate others or a bank, government, or brand; to run phishing, malware, or scams; to spam or send messages you are not permitted to send; or to abuse, overload, probe, or attempt to circumvent the service’s security or rate limits. You are responsible for your site’s content and for complying with the laws that apply to your business.
Where the online-shop feature is enabled, you (the seller) are solely responsible for your products, prices, stock, order fulfilment, delivery, returns, customer service, and for all taxes and legal obligations relating to your sales. WAgent provides the storefront and order tooling only; we are not the seller or merchant of record and are not a party to the sale between you and your buyer. Online payments are processed through Stripe Connect on your own connected account, subject to Stripe’s terms; a platform fee may apply to each order. You are responsible for how you collect and handle your buyers’ personal information in line with applicable law.
WAgent relies on third parties including Meta (WhatsApp), Telegram, Stripe, Cloudflare, OpenRouter and the AI model providers it routes to, and stock-image and email providers. Your use may also be subject to their terms. We are not responsible for third-party services, outages, or changes, and messages or payments handled by them are governed by their policies.
To provide the service we collect and store the messages you send us, the media you share (photos, logos, documents — downloaded and stored on our infrastructure), your business and contact details, billing information, and usage records. Media and inputs may be processed by our AI model providers to generate results. For online shops, we store order and buyer details on your behalf so you can fulfil orders. We use this data to operate, secure, and improve the service, and we do not sell it. We keep it for as long as needed to provide the service and meet legal requirements. The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the service or any site will be uninterrupted, secure, or error-free. AI output may be inaccurate or unsuitable and must be reviewed by you before use.
To the fullest extent permitted by law, Cortexum AI Pte Ltd and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, goodwill, or business, arising out of or relating to the service. Our total aggregate liability for any claim relating to the service will not exceed the amount you paid to us for the service in the three (3) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under Singapore law.
You agree to indemnify and hold Cortexum AI Pte Ltd harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your content, your site, your sales, your breach of these Terms, or your violation of any law or third-party right.
You may stop using the service at any time. We may suspend or terminate your access, pause or take down a site, or refuse service if you breach these Terms, if payment is not made, if we suspect abuse or unlawful use, or if we discontinue the service. Sections that by their nature should survive termination (including ownership, disclaimers, liability, and indemnity) will survive.
These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute, without regard to conflict-of-laws rules.
We may update these Terms from time to time. The current version is always at this page with its effective date. Your continued use of the service after a change means you accept the updated Terms.
